These Terms & Conditions ("Terms") govern two things: your use of the arceniktechnologies.com website, and the professional relationship between Arcenik Technologies ("Company", "we", "us") and clients who engage us for a project ("Client", "you"). By browsing this website or engaging our services, you agree to these Terms.

2. Website Use

This website is operated by Arcenik Technologies from Vapi, Gujarat, India, to showcase our work and let visitors get in touch. All content on this site — including text, graphics, logos, case studies, and blog articles — is the property of Arcenik Technologies unless otherwise credited, and may not be copied or reused without our written permission.

You agree not to misuse the site — including submitting spam or false information through our contact form, attempting to scrape or copy content at scale, or interfering with normal operation of the site. We may update, restructure, or take down parts of the website at any time without prior notice.

3. Scope of Services

We provide software and digital services including, but not limited to:

• Web Development
• UI/UX Design
• E-Commerce Solutions
• CRM & ERP Systems
• AI Chatbots, AI Calling Agents & AI-Powered Marketing
• Workflow Automation
• Branding, Graphic Design & SEO

The specific scope, deliverables, timeline, and fees for your project will be detailed in a separate Statement of Work (SOW) or Project Proposal shared with you before work begins. Where these Terms and a signed SOW/Proposal conflict, the SOW/Proposal takes precedence for that project.

4. Client Engagement Process

A typical engagement starts with a free introductory call (in person, via Google Meet, or booked through our Calendly link), followed by a written proposal. Once you approve the proposal and pay the advance, we begin work. Day-to-day communication during the project happens over email, phone, WhatsApp, or tools like Google Meet, depending on what's most convenient for you.

5. Client Obligations

To keep the project on schedule, you agree to:

• Provide all necessary assets (logos, text, images, brand guidelines) in a timely manner.
• Provide clear, consolidated feedback within the agreed review periods.
• Grant access to necessary accounts (hosting, domain, analytics) required for development.
• Adhere to the payment schedule outlined in the proposal.

6. Payment Terms

6.1 Payment Schedule

Unless otherwise agreed in writing, our standard payment structure is:

• 50% Advance: Required to secure your spot in our schedule and commence work. This advance is non-refundable, as it reserves our team's time and covers initial setup.
• 50% Final Balance: Due upon project completion, prior to final deployment or handover of source files.

Payments are made directly to Arcenik Technologies via the bank details or payment link shared in your invoice — we do not collect payment or card details through this website.

6.2 Late Payments

Invoices are due upon receipt. Failure to pay within 7 days may result in a pause of services. We reserve the right to withhold final deliverables until all outstanding balances are cleared.

7. Revisions & Approvals

We include 2 rounds of revisions at each stage of the project (Design, Development), covered under the agreed project fee.

Revisions are meant for refinements, not full redesigns. Requests outside the original scope, or beyond the included revision rounds, will be quoted separately or billed at our standard hourly rate.

8. Intellectual Property

8.1 Ownership

Upon full payment of all fees, you are granted exclusive ownership of the final deliverables (designs, code, content strategy) created specifically for your project. Any third-party libraries, frameworks, or licensed assets used remain governed by their own licenses.

8.2 Portfolio Rights

We retain the right to showcase the completed project in our portfolio, website, and social media for promotional purposes, unless a Non-Disclosure Agreement (NDA) is signed beforehand or you request otherwise in writing.

9. Confidentiality

We respect your proprietary information. Any business data or trade secrets shared with us during the project will be kept confidential and used solely for the purpose of completing the work.

10. Warranties & Liability

We build using industry best practices, but we cannot guarantee that any software will be error-free or uninterrupted forever (e.g., due to third-party updates, hosting outages, or browser changes outside our control).

To the maximum extent permitted by law, Arcenik Technologies shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profit) arising from the use of our services or this website.

11. Termination

Either party may terminate a project with written notice if the other party breaches these Terms.

• If you terminate without cause, you are responsible for payment of all work completed up to that date.
• Advance payments are non-refundable, as explained in Section 6.1.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts in Vapi, Gujarat.

13. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page. Continued use of our website or services after a change constitutes acceptance of the updated Terms.
